We want Agent Bayes to be a workspace you can trust with your research. These Terms explain the rules that apply when you use it, and we have tried to keep them clear, fair, and readable.
These Terms of Use are a legal agreement between you and ArchaeoMind Ltd., an Israeli company operating Agent Bayes. Please read them carefully. By accessing or using the Services, creating an account, using the website, using an integration, publishing a public share, purchasing a subscription, or otherwise using Agent Bayes, you agree to these Terms.
If you do not agree to these Terms, do not use the Services.
1. Who We Are and What These Terms Cover
Agent Bayes is an AI research workspace available at https://agentbayes.com, https://app.agentbayes.com, related subdomains, APIs, public share pages, documentation, and integrations, including the Zotero integration.
In these Terms:
- "Agent Bayes," "we," "us," and "our" mean ArchaeoMind Ltd.
- "you" and "user" mean the person using the Services.
- "Services" means the Agent Bayes website, app, APIs, public share pages, integrations, documentation, features, software, and related services.
- "Your Content" means content, documents, files, text, citations, metadata, annotations, labels, tags, images, prompts, instructions, conversations, mindmaps, public share content, bibliographic records, and other materials you upload, sync, submit, create, publish, or generate through the Services.
- "Research Content" means Your Content that relates to your research workspace, including PDFs, extracted text, citations, notes, mindmaps, AI inputs, AI outputs, and derived research data.
- "AI Output" means text, mindmap nodes, summaries, translations, confidence scores, citation verification results, terminology graphs, extracted claims, suggested edits, and other output generated through AI features.
These Terms incorporate the Agent Bayes Privacy Policy at https://agentbayes.com/privacy, the Refund and Cancellation Policy at https://agentbayes.com/refund, and the Copyright and DMCA Policy at https://agentbayes.com/dmca. Additional terms may apply to specific plans, order forms, APIs, beta features, integrations, payment flows, or enterprise arrangements. If a signed order form or separate written agreement says that it overrides these Terms, that document controls for the conflict.
We may update these Terms from time to time. If we make a material change, we will try to notify you by email, in-product notice, or a prominent notice on the Services. Your continued use of the Services after the updated Terms take effect means you accept the updated Terms.
2. Eligibility and Accounts
The Services are intended for adults. You may not use the Services if you are under 18 years old.
Agent Bayes is not designed as a school-directed service for children, and it should not be used to collect student records from minors unless we have separately agreed to appropriate written terms.
You may need an account to use parts of the Services. We may provide accounts by invitation, through a waiting list, by self-service registration, email and password login, API keys, or other access methods we make available. While we are managing capacity, access may be offered through a waiting list and granted in limited batches at our discretion. We may open self-service registration at any time.
You agree to provide accurate account information and keep it current. You are responsible for all activity under your account, browser sessions, API keys, and integrations. You must keep passwords, tokens, API keys, and devices secure. If you believe your account, credentials, or API keys have been compromised, you must notify us promptly and take reasonable steps to secure your account.
You may not share your account or API keys with anyone else unless we expressly permit it. You may not create accounts using false identities, evade suspension, resell access, or create accounts on behalf of another person without authority.
3. Access to the Services
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for legitimate academic, research, professional, analytical, and personal research purposes.
Access to the Services may be capacity-limited. We may provide access through a waiting list and grant it in limited batches as capacity allows, at our discretion. Joining a waiting list does not guarantee access, a specific timeline, or any particular plan, and we may open self-service registration when we choose.
Agent Bayes is built to support serious research, including paid professional research, consulting, analysis, and client work. You remain the professional in charge of that work. Your conclusions, deadlines, deliverables, advice, business decisions, and client obligations stay yours, and you use the Services for that work at your own risk. Because those professional outcomes are yours, we are not responsible to you or to any third party for them or for reliance on the Services.
You may not copy, sell, rent, lease, sublicense, distribute, host, or otherwise make the Services available to third parties except through features we provide for that purpose, such as public share pages.
As the product evolves, we may change, suspend, discontinue, limit, or remove features at any time at our sole discretion. We may also impose or change usage limits, rate limits, storage limits, credit costs, model availability, indexing limits, public-share limits, API limits, or other operational controls. Where a change is significant, we will try to give notice and avoid surprising you, but we do not guarantee that any feature, model, integration, workflow, output format, or beta feature will remain available indefinitely.
4. Product Status, Beta Features, and Availability
Agent Bayes began as an invite-only private beta and may continue to include beta, preview, experimental, or early-access features. Beta features may be incomplete, unavailable, inaccurate, unstable, unsupported, or changed without notice.
We work hard to keep the Services reliable, available, and stable, and we treat your research workspace with care. At the same time, we do not promise uninterrupted availability, specific uptime, response time, support level, or compatibility unless we separately agree in writing. The Services may be unavailable because of maintenance, infrastructure failures, third-party provider issues, security incidents, high load, legal requirements, product changes, or other causes.
We run backups as part of normal operations, but these are for our operational purposes and are not a guarantee against data loss. While your account is active you can export your work at any time using the export features we provide, and we recommend, especially while we are in beta, keeping your own independent copies of important research materials. You are responsible for retaining originals such as PDFs, bibliographic records, notes, drafts, exports, and other work you need outside Agent Bayes.
5. Your Content and Ownership
As between you and Agent Bayes, you retain the rights you have in Your Content. We do not claim ownership of your uploaded papers, notes, annotations, mindmaps, prompts, instructions, or other Research Content.
You grant Agent Bayes a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, modify, create technical derivatives of, and otherwise use Your Content as reasonably needed to:
- Provide, operate, maintain, secure, and improve the Services.
- Process documents, OCR, chunk text, generate embeddings, index content, retrieve passages, translate text, extract terms, verify citations, generate AI Output, and maintain provenance.
- Display your workspace to you and operate features you request.
- Publish, host, cache, render, and revoke public shares you choose to create.
- Provide support, debug issues, investigate security or abuse, enforce these Terms, and comply with law.
- Develop and improve Agent Bayes, provided that we do not use your Research Content to train our own general-purpose foundation models.
This license lasts for as long as needed for the purposes above. Some records may remain after deletion where permitted by the Privacy Policy, such as backups, logs, audit records, billing records, security records, and records needed for legal compliance or dispute resolution.
You are responsible for Your Content and for ensuring that you have all rights, licenses, permissions, notices, and consents needed to upload, sync, process, publish, share, and use it through the Services. This includes academic papers, copyrighted materials, third-party data, personal information, confidential information, research-subject information, and materials imported through Zotero or other integrations.
6. AI Features and AI Output
Agent Bayes uses AI systems to help you search, index, summarize, translate, synthesize, verify, structure, and transform Research Content. AI features may use third-party model providers and infrastructure providers, including OpenAI, Amazon Web Services, and other providers we may add.
We do not use Your Content or AI Output to train our own general-purpose foundation models. Based on our current OpenAI API terms and product controls, OpenAI does not use API inputs or outputs sent through Agent Bayes to train its models unless we separately opt in, which we do not currently do.
AI Output may be incomplete, inaccurate, misleading, non-unique, outdated, unsupported by your sources, or unsuitable for your intended use. Confidence scores, citation verification results, suggested rewrites, summaries, translations, terminology graphs, and other AI Output are tools for review. They are not guarantees.
You are responsible for reviewing, validating, editing, and deciding whether to rely on AI Output. You should inspect citations, source passages, page ranges, bibliographic records, confidence scores, and generated claims before using them in academic, professional, legal, medical, financial, policy, or other consequential work.
The Services are not a source of legal, medical, financial, investment, psychological, safety, or other professional advice. AI Output should not be used as the sole basis for decisions that may affect a person's rights, safety, finances, education, employment, health, legal status, or access to services.
You may use AI Output for your lawful research and writing purposes, subject to these Terms, third-party rights, applicable law, and any restrictions that apply to the underlying content. You are responsible for determining whether AI Output can be used, cited, published, disclosed, or submitted in your context.
You may not use the Services or AI Output to build, train, evaluate, benchmark, or improve a competing AI product or model without our prior written permission.
7. Public Shares
The Services may allow you to publish a mindmap through a public share page. Public shares are user-directed disclosures. If you publish a share, you decide to make that published content available outside your private workspace.
Public shares may be available to anyone with the link and may be indexed by search engines. A public share may include the mindmap title, description, owner display name, publication date, node text, hierarchy, styles, confidence scores, citation labels, bibliographic references, page ranges, image URLs, and share statistics.
Do not publish personal information, sensitive information, confidential information, private research-subject information, unpublished third-party material, non-public institutional material, or information about another person unless you have the right to do so and the disclosure is appropriate.
You are responsible for public shares you publish. You are responsible for ensuring that public shares do not violate intellectual property rights, privacy rights, confidentiality obligations, publication embargoes, institutional policies, ethics approvals, journal requirements, research-participant obligations, or applicable law.
You may revoke a public share using the controls we provide. Revocation should make the public endpoint unavailable, but copies, snippets, screenshots, search-engine records, previews, archives, browser caches, social media previews, and other records created before revocation may remain outside our control.
We may remove, disable, limit, or refuse to publish public shares if we believe they may violate these Terms, create legal or security risk, harm the Services, or expose personal, sensitive, confidential, infringing, unlawful, or abusive content.
If you believe a public share or other content on the Services infringes your copyright, you can report it under our Copyright and DMCA Policy at https://agentbayes.com/dmca, which also explains how a user whose content was removed can respond.
8. API Keys, Integrations, and Zotero
Direct API access is not currently offered for general use. You may interact with our API only through the official Agent Bayes frontend, the Agent Bayes Zotero plugin, or another integration we expressly make available or approve in writing.
The Services may allow you to create API keys for approved integrations, including the Agent Bayes Zotero plugin. API keys authenticate approved tools against your account.
You are responsible for API keys you create and for all activity performed with them. You must keep API keys secret, use separate keys where practical, revoke keys that are lost or compromised, and avoid placing keys in public repositories, shared documents, browser extensions you do not trust, or client-side code where others can retrieve them.
Unless we separately authorize broader use, API keys are for your own account, devices, and approved integrations. You may not call the API directly, operate a competing service, resell Agent Bayes, scrape the Services, bypass product limits, bulk export data, probe security controls, automate unsupported workflows, or overload the platform.
When you use Zotero or another third-party integration, you are also responsible for complying with the third party's terms, licenses, and policies. We are not responsible for Zotero, your local Zotero installation, third-party reference managers, external storage systems, or content obtained from publishers, libraries, repositories, or other third parties.
9. Billing, Subscriptions, Credits, and Taxes
Some Services may require a paid subscription, usage credits, add-on credits, or other fees. At launch, subscriptions are billed monthly. Unless a different limit is shown when you purchase, a paid subscription has a maximum of 36 monthly billing cycles. Prices, plan features, entitlements, credit grants, credit costs, renewal periods, and limits are shown on the pricing page, checkout flow, account settings, order form, or other product screens we make available.
We use PayPal as our payment processor, and ArchaeoMind Ltd. is the seller of your Agent Bayes purchase. When you purchase a subscription, PayPal charges your chosen payment method under your own agreement with PayPal, and PayPal's user agreement and purchase protections may also apply to the payment itself. You must provide accurate billing information and keep it current.
Subscriptions renew automatically each month until canceled or until the maximum number of billing cycles shown when you purchased is reached. When that maximum is reached, the subscription expires and no further automatic renewal charge should be made. You may start a new subscription if the plan remains available. If you cancel earlier through your Agent Bayes account settings, your PayPal account's automatic payments controls, or another cancellation method we provide, cancellation usually takes effect at the end of the current billing period, and you may retain access until then unless these Terms or applicable payment terms say otherwise.
If payment fails, is reversed, is charged back, or remains unpaid, we may suspend, downgrade, limit, or terminate paid features, credit spending, API access, public sharing, exports, indexing, or other account functionality. You remain responsible for amounts owed, taxes, and fees that are not successfully collected, except where prohibited by law.
Credits are a metering mechanism for AI and processing operations. Your plan is a recurring subscription billed monthly, and each plan includes a monthly credit allowance that meters usage of features like indexing, the multi-agent workflow, verification, and translation, so your usage stays within the capacity of your plan. Credits are not money, stored value, currency, gift cards, or property. Credits have no cash value and are not transferable unless we expressly allow it.
Recurring credits expire 2 months after they are granted, unless your plan or a separate written agreement says otherwise. Add-on credits expire 6 months after they are granted, unless your plan or a separate written agreement says otherwise. Credits are consumed from older eligible pools before newer ones, so your earliest credits are always used first. Your current balance and credit consumption are shown in your account so you can plan how to use it.
Before some operations begin, the Services may reserve estimated credits from your balance. When the operation completes or is canceled, the reservation may be finalized, adjusted, released, or partially refunded according to actual usage and product behavior. Estimates are not guarantees of final cost.
Refunds and cancellations are governed by the Refund and Cancellation Policy at https://agentbayes.com/refund, applicable law, PayPal's applicable payment terms, and any separate written agreement. We may provide refunds, credits, extensions, or other accommodations at our discretion, but doing so once does not require us to do so again.
You are responsible for all taxes, duties, levies, and similar charges associated with your purchases, except for taxes based on our net income. Where we are required to collect a tax on a purchase, it will be shown in the applicable pricing or checkout flow.
10. Acceptable Use
These rules keep Agent Bayes safe, lawful, and dependable for everyone who uses it.
You agree not to use the Services, Your Content, AI Output, public shares, API keys, or integrations to:
- Violate any law, regulation, court order, contract, institutional policy, research ethics requirement, export control, sanctions rule, or third-party right.
- Upload, sync, process, publish, or share content you do not have the right to use.
- Infringe copyrights, database rights, trade secrets, privacy rights, publicity rights, confidentiality obligations, or intellectual property rights.
- Upload, publish, or share special category data (such as data revealing health, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade-union membership, genetic or biometric data, sex life, or sexual orientation), criminal-offence data, protected health information, student records, confidential records, private research-subject information, or other regulated personal data, unless you are the controller of that data, you have your own lawful basis for it, and the use is appropriate. Agent Bayes does not need this data to provide the Services and does not ask you to supply it.
- Collect, infer, expose, or publish personal information about another person without a lawful basis and appropriate authority.
- Harass, threaten, defame, impersonate, abuse, exploit, discriminate against, or harm any person.
- Generate or publish unlawful, deceptive, defamatory, hateful, sexually exploitative, violent, extremist, or otherwise harmful content.
- Use AI Output to make consequential decisions about people without appropriate human review and legal authority.
- Misrepresent AI Output as a verified fact, original human-authored work, or source-supported conclusion when you have not reviewed it.
- Circumvent credit limits, usage limits, rate limits, access controls, public-share controls, security controls, or model safety controls.
- Reverse engineer, decompile, disassemble, copy, scrape, data mine, benchmark, or probe the Services except where allowed by law and not waivable by contract.
- Use bots, crawlers, load testers, automated scripts, or extraction tools in a way that burdens, disrupts, or extracts from the Services without authorization.
- Upload malware, malicious code, corrupted files, or content designed to disrupt, damage, intercept, or gain unauthorized access to systems or data.
- Use the Services to spam, phish, mislead, defraud, surveil, or conduct unauthorized security testing.
- Resell, lease, sublicense, timeshare, outsource, or provide service-bureau access to the Services.
- Use the Services or AI Output to develop or improve a competing product, dataset, retrieval system, AI model, or AI service without our written permission.
- Remove, obscure, or alter proprietary notices, security features, attribution, or product identifiers.
We may investigate suspected violations and may suspend or terminate access, remove content, revoke public shares, disable API keys, preserve evidence, notify affected parties, or report conduct to authorities where appropriate.
11. Third-Party Services and Content
The Services depend on and may interoperate with third-party services, software, infrastructure, models, payment systems, identity providers, analytics providers, email systems, repositories, publishers, libraries, and integrations. These may include OpenAI, Amazon Web Services, PayPal, Google, Zotero, and others.
Third-party services may have their own terms, policies, fees, limits, outages, data practices, intellectual property rules, and compliance obligations. We do not control third-party services and are not responsible for their acts, omissions, availability, content, security, accuracy, or policies.
The Services may display, link to, cite, summarize, or process Third-Party Content, including academic papers, publications, bibliographic metadata, websites, excerpts, images, and external materials. Third-Party Content remains the responsibility of its owners and sources. You are responsible for determining whether you may access, upload, process, quote, summarize, publish, or share Third-Party Content through the Services.
12. Agent Bayes Intellectual Property
We and our licensors own the Services and all related software, models where applicable, algorithms, interfaces, workflows, designs, documentation, databases, schemas, prompts, templates, features, product names, trademarks, logos, service marks, trade secrets, and other intellectual property, except for Your Content and Third-Party Content.
No rights are granted except as expressly stated in these Terms. You may not use our names, trademarks, logos, branding, screenshots, product materials, or publicity references without our prior written permission, except where law permits nominative use.
If you send us feedback, ideas, suggestions, bug reports, feature requests, or other comments about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation. You agree that feedback is not confidential unless we have separately agreed otherwise in writing.
13. Confidentiality and Security
If either party receives non-public information from the other that should reasonably be understood as confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to the Services. Confidential information does not include information that is public, independently developed, lawfully received from another source, or already known without confidentiality obligations.
We use reasonable administrative, technical, and organizational measures designed to protect the Services and personal information. No online service, AI system, or storage system is perfectly secure. You are responsible for protecting your account, passwords, API keys, browser sessions, devices, local Zotero environment, and original research files.
We may access, review, preserve, or disclose account information, logs, and Your Content when reasonably needed for support, debugging, security, abuse prevention, legal compliance, enforcement, or with your permission, as described in the Privacy Policy.
14. Privacy and Data Protection
Our Privacy Policy explains how we collect, use, share, retain, and protect personal information. By using the Services, you acknowledge the Privacy Policy.
You are responsible for deciding whether you may upload, sync, process, publish, share, or otherwise use personal information through the Services. If you use the Services on behalf of an organization, institution, research group, or other controller, you are responsible for ensuring that you have authority to do so and that required notices, consents, data protection terms, and lawful bases are in place.
We do not currently offer a standard data processing addendum or enterprise processor terms through these website Terms. If your institution requires a data processing addendum before you use the Services, contact us at contact@agentbayes.com and we will discuss what we can do. If we later offer such terms, they may apply through a separate signed agreement or order form.
15. Suspension and Termination
You may stop using the Services at any time. You may request account deletion through available product controls or by contacting us, subject to the Privacy Policy and any billing, legal, security, or technical limitations.
We may suspend, limit, or terminate your account, public shares, API keys, subscriptions, credits, or access to any part of the Services if we believe:
- You breached these Terms.
- Your use creates legal, security, privacy, operational, financial, or reputational risk.
- Your payment fails, is reversed, is charged back, or remains unpaid.
- Your account, credentials, API keys, or integrations may be compromised.
- We are required or encouraged to act by law, court order, payment processor, infrastructure provider, model provider, or other third-party provider.
- Continued access may harm us, users, third parties, or the Services.
We may also suspend or terminate beta accounts, inactive accounts, or discontinued features where appropriate.
Upon termination, your right to access and use the Services stops immediately. You remain responsible for fees, taxes, and obligations that accrued before termination. We may delete, retain, export, or disable Your Content according to the Privacy Policy, product controls, legal obligations, and operational needs.
Sections that by their nature should survive termination will survive, including sections about Your Content, AI Output, public shares, billing, acceptable use, third-party services, intellectual property, confidentiality, privacy, disclaimers, liability limits, indemnity, governing law, and general terms.
16. Disclaimers
We care about the quality and reliability of Agent Bayes and put real effort into building it well. At the same time, no software can promise perfection, so this section sets out what we can and cannot legally warrant. To the maximum extent permitted by law, the Services, AI Output, beta features, documentation, public shares, APIs, integrations, and Agent Bayes intellectual property are provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted operation.
We do not warrant that the Services will meet your requirements, that AI Output will be correct or complete, that citations will always support the generated text, that confidence scores will be accurate, that translations will preserve all nuance, that document extraction will be error-free, that all defects will be corrected, that public shares will be indexed or removed from search engines, or that any data will be preserved indefinitely.
You use the Services at your own risk. You are responsible for reviewing outputs, maintaining independent backups, complying with third-party rights, and deciding whether the Services are suitable for your use.
Some laws do not allow certain disclaimers. In those cases, the disclaimers apply only to the maximum extent permitted by law.
17. Limitation of Liability
To the maximum extent permitted by law, Agent Bayes and its directors, officers, employees, contractors, licensors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business opportunities, loss of goodwill, loss of data, research delay, publication delay, academic consequences, reputational harm, service interruption, or cost of substitute services.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- The amounts you paid us for the Services during the twelve months before the event giving rise to the claim.
- One hundred U.S. dollars.
For free, beta, trial, or unpaid use, our total aggregate liability will not exceed one hundred U.S. dollars.
These limits apply to all legal theories, including contract, tort, negligence, strict liability, warranty, statute, and otherwise, even if we have been advised of the possibility of damages.
Nothing in these Terms limits liability where liability cannot be limited by law.
18. Indemnification
You agree to defend, indemnify, and hold harmless Agent Bayes and its directors, officers, employees, contractors, licensors, suppliers, and affiliates from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your Content.
- Your use of the Services, AI Output, public shares, API keys, or integrations.
- Your breach of these Terms.
- Your violation of law or third-party rights.
- Your upload, processing, publication, or sharing of Third-Party Content.
- Your misuse of personal information, confidential information, student records, protected health information, research-subject information, or other regulated data.
- Your billing disputes, chargebacks, fraud, or payment misuse, except to the extent caused by our breach of these Terms.
We may control the defense of any matter subject to indemnification, and you agree to cooperate reasonably. You may not settle a claim in a way that imposes obligations on us or admits fault by us without our prior written consent.
19. Export, Sanctions, and Legal Compliance
You may use the Services only in compliance with applicable laws, including export controls, sanctions, anti-corruption laws, privacy laws, intellectual property laws, and research ethics rules.
You represent that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of a person or entity subject to sanctions or trade restrictions that would prohibit your use of the Services. You may not use the Services for prohibited military, surveillance, weapons, unlawful, or restricted end uses.
20. Governing Law and Disputes
Most disputes can be sorted out directly, so if something goes wrong please contact us at contact@agentbayes.com and we will try to resolve it with you. The terms below set out the formal framework that applies if that does not work.
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules.
The competent courts located in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that we may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, security, or the Services.
You and Agent Bayes each waive any right to participate in a class action, collective action, or representative action to the maximum extent permitted by law. Claims must be brought on an individual basis.
Any claim you bring arising out of or relating to the Services or these Terms must be filed within one year after the claim accrues, unless a longer period is required by law.
21. General Terms
These Terms, the Privacy Policy, the Refund and Cancellation Policy, and any applicable order form or additional written terms are the entire agreement between you and Agent Bayes regarding the Services.
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The rest of the Terms will remain in effect.
Our failure to enforce a provision is not a waiver. A waiver must be in writing to be effective.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, or by operation of law.
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including infrastructure failures, provider outages, labor disputes, natural events, war, terrorism, civil unrest, cyberattacks, legal restrictions, payment processor failures, model provider failures, and internet or utility failures.
